VERISPORT Terms of Use

1. Acceptance of These Terms

Welcome to VERISPORT. These Terms of Use (“Terms”) govern your access to and use of the VERISPORT platform, website, mobile application, services, features, content, and related functionality (collectively, the “Platform”).

By creating an account, accessing the Platform, or selecting “Accept & Continue,” you acknowledge that you have read and agree to these Terms and the VERISPORT Privacy Policy.

If you do not agree to these Terms, you should not use the Platform.

2. Founder Beta

VERISPORT is currently being offered as a limited Founder Beta.

The Platform is under active development. Features may be modified, added, removed, interrupted, or unavailable during the beta period. Data, functionality, user interfaces, evaluations, analytics, and other Platform features may also change as VERISPORT develops the service.

Participation in the Founder Beta does not guarantee continued access to the Platform or any particular feature.

VERISPORT may suspend, limit, or discontinue the Founder Beta at any time.

3. Eligibility and Accounts

You must provide accurate and current information when creating and maintaining an account.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.

You may not impersonate another individual, create an account using false information, or permit unauthorized individuals to access your account.

Certain Platform functionality may vary depending on whether you access VERISPORT as an athlete, scout, evaluator, administrator, or other authorized user.

4. Users Under 18

VERISPORT may be used by athletes who are under 18 years of age.

Users under 18 must use the Platform only with the permission and involvement of a parent or legal guardian to the extent required by applicable law.

VERISPORT may require additional parental or guardian authorization, consent, or verification for certain users, features, or activities.

Parents and guardians are encouraged to review these Terms and the VERISPORT Privacy Policy with any minor using the Platform.

Counsel review point: we should have counsel specifically determine the final age/consent mechanics before public beta.

5. Athlete Profiles and Athletic Information

Athletes may create profiles containing information related to their athletic identity, including information such as:

  • name and profile information;

  • school and club affiliations;

  • graduation year;

  • playing position;

  • athletic measurements and performance information;

  • academic or recruiting information;

  • achievements and milestones;

  • schedules;

  • photographs;

  • video links or footage;

  • evaluations and performance assessments; and

  • recruiting-related information.

Users are responsible for ensuring that information they submit is accurate and that they have the right to provide it.

6. Recruiting Platform Disclaimer

VERISPORT provides tools designed to help athletes organize and present athletic information and to assist authorized recruiting users in discovering and evaluating athletes.

VERISPORT does not guarantee:

  • recruitment by any school, club, organization, or team;

  • contact from a coach or scout;

  • roster placement;

  • admission to an educational institution;

  • athletic or academic scholarships;

  • financial aid;

  • professional opportunities; or

  • any particular recruiting outcome.

Recruiting decisions are made independently by schools, coaches, scouts, clubs, organizations, and other third parties.

VERISPORT is not acting as an athletic agent, admissions representative, scholarship provider, or recruiting decision-maker merely by providing the Platform.

7. VERISPORT Performance Index and Evaluations

The Platform may include evaluations, assessments, ratings, developmental recommendations, and the VERISPORT Performance Index (“VPI”).

These tools are intended to provide structured athletic information and developmental insights.

Evaluations necessarily involve judgment and may be based on information available to an evaluator at a particular time. They should not be interpreted as a guarantee of athletic ability, future performance, recruiting success, scholarship eligibility, health, fitness, or professional potential.

Different evaluators may reasonably reach different conclusions regarding an athlete.

VERISPORT may modify scoring methodologies, criteria, calculations, or presentation as the Platform develops.

8. VERISPORT Intelligence

The Platform may provide automated, algorithmic, or artificial-intelligence-assisted features under VERISPORT Intelligence or similar functionality.

Such outputs may include recommendations, summaries, insights, search assistance, developmental suggestions, or other generated information.

Automated outputs may contain errors or incomplete information and should be reviewed by the user before being relied upon.

VERISPORT Intelligence is intended to assist users rather than replace coaches, educators, medical professionals, recruiting professionals, or other qualified individuals.

9. Scout and Recruiting Information

Authorized scouts or recruiting users may use VERISPORT to identify, save, organize, assess, and manage prospective athletes.

Certain information created by scouts — including private notes, ratings, pipeline status, recruiting tasks, or similar internal recruiting information — may be visible only to the relevant authorized recruiting user or organization, depending on Platform functionality.

Athletes should not assume that every internal recruiting action or assessment is visible to them.

10. User Content

You retain ownership of content that you submit to VERISPORT, subject to the rights necessary for VERISPORT to operate the Platform.

By submitting content, you grant VERISPORT a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, transmit, format, and otherwise use that content solely as reasonably necessary to provide, operate, secure, improve, and support the Platform.

You represent that you have the necessary rights to submit any content you provide.

You may not upload or submit content that infringes the copyright, privacy, publicity, intellectual-property, or other rights of another person.

11. Video and Third-Party Content

VERISPORT may allow users to provide or link to athletic videos hosted through third-party services.

Users are responsible for ensuring they have the right to share or link to such content.

Third-party websites, video services, or other external platforms operate under their own terms and privacy practices. VERISPORT is not responsible for the availability, security, accuracy, or practices of third-party services.

12. Acceptable Use

You may not use VERISPORT to:

  • violate applicable law;

  • harass, threaten, exploit, or abuse another person;

  • misrepresent your identity or credentials;

  • collect information about users for unauthorized purposes;

  • scrape, harvest, or systematically extract Platform data;

  • attempt to gain unauthorized access to accounts, systems, or data;

  • interfere with the operation or security of the Platform;

  • distribute malware or harmful code;

  • reverse engineer the Platform except where permitted by law;

  • use another user’s information for purposes unrelated to legitimate athletic, recruiting, administrative, or Platform activities; or

  • use VERISPORT in any manner that VERISPORT reasonably determines threatens users, the Platform, or the integrity of the service.

VERISPORT may restrict or terminate access for violations of these Terms.

13. Privacy

VERISPORT’s collection, use, storage, and disclosure of personal information is described in the VERISPORT Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

14. Intellectual Property

Except for user-provided content, the Platform and its software, design, branding, trademarks, logos, interfaces, text, graphics, methodologies, scoring systems, and other proprietary materials are owned by VERISPORT or its licensors and are protected by applicable intellectual-property laws.

VERISPORT, VERISPORT Performance Index, VPI, VERISPORT Intelligence, VERISPORT Athlete Record, VERISPORT Score, and Your Athletic Identity. For Life.™, together with associated branding, may constitute trademarks or proprietary branding of VERISPORT.

Nothing in these Terms grants users ownership of VERISPORT intellectual property.

15. Feedback

Because you are participating in a Founder Beta, you may provide feedback, suggestions, ideas, bug reports, or recommendations concerning VERISPORT.

You agree that VERISPORT may use such feedback to develop, modify, improve, and commercialize the Platform without obligation to compensate you.

16. Platform Availability

VERISPORT does not guarantee uninterrupted or error-free access.

The Platform may occasionally be unavailable because of maintenance, technical problems, security issues, third-party service interruptions, product changes, or other circumstances.

During the Founder Beta, users should expect that defects and interruptions may occur.

17. Suspension and Termination

VERISPORT may suspend or terminate access to the Platform if a user violates these Terms, creates a security or safety risk, misuses Platform data, or otherwise uses VERISPORT in a manner inconsistent with its intended purpose.

Users may discontinue use of the Platform at any time.

Procedures for requesting account or personal-data deletion will be described in the Privacy Policy or other account documentation.

18. Disclaimer of Warranties

Counsel should finalize this section.

To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis.

VERISPORT does not make warranties regarding uninterrupted availability, accuracy, reliability, recruiting outcomes, evaluations, or fitness for a particular purpose except as expressly required by law.

19. Limitation of Liability

Counsel should draft/finalize this section based on VERISPORT’s legal entity, insurance posture, applicable state law, and intended commercial model.

I would deliberately not invent aggressive liability language here before counsel reviews it.

20. Indemnification

Counsel should determine whether an indemnification provision is appropriate for the Founder Beta and, if so, its scope.

21. Governing Law and Dispute Resolution

These Terms will be governed by the laws specified in the final version adopted by VERISPORT.

22. Changes to These Terms

VERISPORT may update these Terms as the Platform evolves.

If VERISPORT makes material changes, users may be required to review and accept the updated Terms before continuing to use the Platform.

The effective date and/or version of the applicable Terms will be identified with the document.
